Terms of Service

1. Who you are contracting with
StudyWell ("StudyWell", "we", "us", "our") is operated by Callwell. By creating an account or using StudyWell you ("you", "user") agree to these Terms of Service. If you do not agree, do not use the service.
2. The service
StudyWell provides AI-assisted study tools including notes, flashcards, homework help, lecture transcription, planners, and related social features. Features may change over time.
3. Account and eligibility
You must be of legal age in your jurisdiction (or have parental consent) to use StudyWell. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Provide accurate information and keep it up to date.
4. Acceptable use
You must not:
- Use the service for unlawful, fraudulent, or abusive purposes.
- Send spam, malware, or attempt to compromise security (probing, scraping, reverse-engineering, circumventing technical limits).
- Infringe intellectual property rights or post content you do not have the right to share.
- Use the AI features to generate illegal content, hate speech, harassment, deepfakes, malware, or content intended to deceive.
- Resell or redistribute the service.
5. AI features
You are responsible for the prompts you submit and for how you use any outputs, including verifying their accuracy and ensuring you have the rights to any input content. AI outputs may be inaccurate and are not a substitute for professional advice (medical, legal, financial, or otherwise). We may remove or restrict content, refuse or filter outputs, and suspend accounts to enforce these Terms. Rights-holders who believe content infringes their rights may contact hello@callwel.us; repeated infringement may lead to account termination.
6. Your content
You retain ownership of the content you create in StudyWell. You grant us a limited, worldwide license to host, store, process, and display that content solely for the purpose of providing the service to you.
7. Intellectual property
The StudyWell service, its software, design, and branding are owned by Callwell and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the service within your active plan.
8. Payments, subscriptions, and refunds
Payments are processed by Stripe, our third-party payment provider. For eligible transactions, Stripe handles tax calculation, collection, filing, and remittance, along with fraud protection and dispute handling. All purchases are final and no refunds will be issued unless otherwise required by applicable law.
9. Service availability
We work hard to keep StudyWell available but we do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law we disclaim all implied warranties including merchantability and fitness for a particular purpose.
10. Suspension and termination
We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using the service at any time. Upon termination, your right to access the service ends; we may provide a reasonable window to export your content.
11. Liability
To the fullest extent permitted by law, our aggregate liability for any claim arising from these Terms is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, or special damages (including loss of profits, data, or goodwill). Nothing in these Terms excludes liability for fraud, death, or personal injury caused by negligence where such exclusion is not permitted by law.
12. Indemnity
You agree to indemnify Callwell against claims arising from your content, your unlawful use of the service, or your breach of these Terms.
13. Changes
We may update these Terms from time to time. Material changes will be communicated through the app or by email. Continued use of the service after changes constitutes acceptance.
14. Governing law
These Terms are governed by the laws applicable to Callwell's place of establishment, without regard to conflict of laws principles. Disputes will be resolved in the courts of that jurisdiction, subject to any mandatory consumer protection rights you have where you live.
